New Zealand streamlines foreign investment approvals under OIA reforms.

 30 March 2026.

On 6 March 2026, New Zealand implemented reforms to the Overseas Investment Act, intended to streamline and target the framework for assessing foreign investment, as well as providing an avenue for investor class visa holders to purchase a residence in New Zealand.

Outside of legislative reform, there is also a new Ministerial Directive Letter, instructing the Overseas Investment Office (OIO) to take a facilitative approach to lower-risk transactions, keep compliance obligations proportionate and minimise conditions on consents where appropriate.

The updated structure places greater emphasis on the national interest test, hopefully enabling a more proportionate and efficient screening process.

A risk-based screening framework

The reforms overall signal a shift in tone, with overseas investment increasingly seen as an opportunity to support economic growth, rather than something to be approached with excessive caution.

A central feature of the reforms is the introduction of a more structured, risk-based assessment process, whereby, the OIO first determines whether a transaction presents any national interest risk with a bifurcated process based on the result.

  • If the investment is considered lower risk, applications proceed through a simpler and faster approval process with clearance within fifteen working days (OIO are aiming for a five working days turn-around).
  • If the transactions presents a higher risk profile, a more detailed assessment ensues, thereby ensuring regulatory scrutiny is applied where it is most needed.

Continued focus on sensitive assets

It is clear the reforms continue to ensure important safeguards remain in place for investments involving strategically important assets. Transactions relating to sensitive land, critical infrastructure or sectors of national significance remain subject to detailed review under the national interest test.

For most investors, this should mean faster and more predictable approvals. Transactions not raising national interest concerns are expected to move through the process efficiently, with the OIO signalling a target of five to fifteen working days for straightforward applications.

Transactions involving strategically sensitive sectors, or where overseas government ownership is 25% or more, will continue to receive closer scrutiny through a more detailed review process.

The reforms also introduce a new pathway allowing holders of certain investor-class resident visas, including the Active Investor Plus visa, to purchase a single residential property valued at NZD 5 million or more, subject to OIO consent.

This new access does not cover farmland, fishing quota and certain other sensitive categories as these remain subject to their existing assessment frameworks; that is, the reforms provide no additional relief for these asset categories.

Practical considerations for New Zealand businesses

The 2026 reforms to the Overseas Investment Act signal a clear shift in New Zealand’s approach to foreign investment. By introducing a national interest test within a more streamlined process, the regime balances faster approvals for low-risk transactions with continued oversight of sensitive investments. Reduced compliance requirements and clearer timelines also help lower barriers for investors with straightforward structures.

For businesses considering investment in New Zealand or reviewing existing arrangements, this is a practical time to assess how the new framework applies. Well-prepared applications addressing any national interest considerations will be best placed to benefit from the faster approval timelines.
